Welcome everyone to our course on Corporate Governance. I'm Dr. Mary Hunter McDonnell. I'm a Professor at the Wharton School, at the University of Pennsylvania, and I'm going to be leading this course and walking you through the basics of corporate governance. I wanted to share a little bit about what makes me so excited about this topic before we jump in. I fell in love with corporate governance a couple of decades ago now when I was a law student, learning about business law. Organizations are these wildly complex and large creatures today. They span jurisdictional boundaries, they span nations, and this in some ways makes them more important and impactful than modern governments.
And at the very top of these massive organizations, there sits a little bitty group of people, the corporate board. Corporate governance is all about how we can, with a few tweaks and minor interventions, reshape the way that boards behave and the decisions that they make that guide how organizations affect their broader stakeholder constituencies.
