Welcome to the programme. My name is Philipp Meyer-Doyle. I'm a professor at INSEAD in the strategy area and it is my pleasure to be your guide on this journey through mergers and acquisitions. A few words about myself before we start. I hold a PhD from the Wharton School of the University of Pennsylvania and before becoming an academic, I used to be an investment banker and a private equity professional. So, very much doing the deals that I later then would become a researcher about. So throughout this programme, I'm going to infuse both the practical knowledge as well as of course, academic rigour and academic knowledge as well.

Now, the programme consists of five modules that together are going to really improve your M&A capabilities, your M&A knowledge and your skills in successfully mastering this tricky topic.

In module one, you're going to learn about how to create value in mergers and acquisitions and also when to engage in M&As and when not to engage in M&As. In module two, you're going to take a bit of a financial perspective to M&A and you're going to learn how to value M&A targets using different valuation techniques. In module three, you're going to get exposed to an increasingly important topic namely that of M&A deal structuring and how that can help you mitigate the chief risks involved in mergers and acquisitions. Module four is going to help you within your firm, build M&A capabilities so that you're not just engaging in M&As here and there but actually have the capacity to engage in M&A in a very programmatic fashion. You also in that module are going to get exposed to this very difficult beast of M&A of technology firms. Last in module five, you're going to learn how to master post-merger integration, a very important topic.

Now in this programme, you're going to learn a range of things. You're going to start in module one by really building capabilities and understanding of how you can formulate your firm's corporate strategy and how you can set the corporate scope of your firm.

We're also going to learn about the different motives that trigger M&A. And some of the good motives and some of the bad motives. So, that ultimately will help you to decide when to engage in M&As and when not to engage in M&As. You're also going to learn about the sources of synergies and acquisitions, how to reap synergies and how to create value. But importantly that it's not all about value creation, it is also about value capture. Value capture for your own company and its shareholders is directly linked to the price that you pay in an acquisition. So, you're going to also become somewhat of an expert in valuing acquisition targets.

You're going to learn the different tools and best practices when it comes to M&A deal structuring and the intricacies of how to approach technology targets and how to value these targets, how to integrate these targets differently, how to build M&A capabilities within your firm and then how to approach the integration approach very early on and how to ultimately master these challenges that pop up during the post-merger integration phase, what are the tools that you can use and what are the best practices that you can use.
